Effective Date: December 28th, 2021

These API Terms and Conditions ("API Terms and Conditions") govern your ("you" or "Client") use of the GotPrint API Service (as defined below) (including, without limitation, all updates, revisions, substitutions) and the way that you are permitted to access GotPrint Data (as defined below) via the GotPrint API Service. In addition, the GotPrint Terms of Use, Terms of Sale and Privacy Policy are hereby incorporated and made a part of these API Terms and Conditions by this reference. Your agreement to these API Terms and Conditions is a condition precedent before using the GotPrint API Service. Please read these API Terms and Conditions carefully before proceeding.

Binding Effect

By accessing the GotPrint API Service, or by clicking to accept these API Terms and Conditions when this option is made available to you, you agree to be legally bound by these API Terms and Conditions, and you represent and warrant that you have read, understood, and accepted these API Terms and Conditions, are at least the age of majority in your state of residence, and are legally able to enter into these API Terms and Conditions. GotPrint reserves the right to update and change these API Terms and Conditions from time to time, consistent with applicable law.

1. Definitions

In these API Terms and Conditions the following terms shall have the following meanings:

"API" means application programming interface;

"API Access Key" means the unique ID given by GotPrint to qualified Client to access the GotPrint API Service;

"GotPrint API Service" means the application programming interface that supports requests for GotPrint's web services from Client's computer programs;

"GotPrint Data" means any content, data, text, images, documentation and other information or materials made available to Client through the GotPrint API Service.

Capitalized terms used but not defined herein shall have the meanings given to them in the Terms of Use.

2. License

Subject to and conditioned upon Client's timely payment of the Set-Up Fee (as defined below) and Client's compliance with the terms and conditions of these API Terms and Conditions, GotPrint hereby grants to Client a non-transferable, non-assignable, non-sublicensable, non-exclusive, terminable, limited right and license to access and use the GotPrint API Service and GotPrint Data solely for Client's support of its customers. As between the parties, GotPrint retains sole and exclusive ownership of all right, title and interest in and to the GotPrint API Service and GotPrint Data, and to all intellectual property rights relating thereto. The license set forth in this Section 2 transfers to Client neither title nor any proprietary or intellectual property rights to the GotPrint API Service and/or GotPrint Data, except for the rights expressly granted herein. All rights not expressly granted hereunder are reserved by GotPrint.

3. API Uses and Restrictions

All users of the GotPrint API Service agree to the following:

1. Client must have a valid and active membership account that has not been terminated or suspended by GotPrint pursuant to the Terms of Use.
2. Client must meet GotPrint's qualifications (such determination in GotPrint's sole discretion), such as a prescribed minimum order value amount per month, among others, to gain access to APIs through the GotPrint API Service.
3. Client agrees to use the GotPrint API Service only for purposes that are proper and in compliance with these API Terms and Conditions, applicable law and applicable industry standards (e.g., PCI). If Client is an international user, Client shall comply with their own local rules regarding online conduct and acceptable content, including laws regulating the export of data to the United States or Client's country of residence.
4. GotPrint may require a set of unique IPs and allow only API calls from those authorized IPs.
5. Client is required to send all API calls through secure connections. GotPrint is not responsible for non-secure calls which may potentially put Client's data at risk while in transmission to GotPrint.
6. Client agrees that it will not share any unique identifier, electronic key, password, user names or any other registration information (including, without limitation, its API Access Key) with any third party and will at all times comply with all applicable data protection laws in the jurisdiction where it operates.
7. Client agrees that all submitted artworks are final and all measurements are accurate. GotPrint is not responsible for incorrect/bad files and artworks submitted via the GotPrint API Service.
8. Client acknowledges that GotPrint Data and the Site are the property of GotPrint and are protected by intellectual property laws, including laws related to copyrights, trademarks and other similar rights. Client shall protect GotPrint Data and shall not, directly or indirectly, copy, distribute, display or alter GotPrint Data except as expressly permitted hereunder.
9. Client shall not, and shall not permit any person, directly or indirectly, to reverse engineer, disassemble, decompile, translate, modify, alter, or create derivative works of the GotPrint API Service, other than as explicitly permitted hereunder.
10. Client shall not use the GotPrint API Service in connection with spyware, adware, other malicious programs or code.
11. Client shall not use the GotPrint API Service in any manner or for any purpose that violates any law or regulation, any right of any person, including, but not limited to, intellectual property rights, rights of privacy, or rights of personality.
12. Client shall not use the GotPrint API Service in a manner that adversely impacts, interferes with, or disrupts the Site, servers, or use an unreasonable amount of bandwidth. GotPrint reserves the right, at any time and without notice, to limit the number of queries sent by Client via the GotPrint API Service, both in the manner and in the amount of queries.
13. Client shall not cache or store any GotPrint Data obtained via the GotPrint API Service other than for reasonable periods.
14. Client shall not contain or transmit any viruses, worms, Trojan horses or other code with malicious or disruptive and/or destructive features.
15. Client will provide any information and/or other materials related to its applications reasonably requested by GotPrint from time to time to verify compliance with these API Terms and Conditions. Client acknowledges and agrees that GotPrint may use technical measures to track Client's use of the GotPrint Data to ensure compliance with these API Terms and Conditions. Client will not seek to block or otherwise interfere with such monitoring.
16. Client agrees not to access (or attempt to access) the GotPrint API Service by any means other than through the interface provided by GotPrint. Client agrees that it will not engage in any activity that interferes with or disrupts the GotPrint API Service (or the servers and networks which are connected to same).
17. Client agrees to use commercially reasonable efforts to report to GotPrint any security loop holes and/or bugs with respect to the GotPrint API Service that Client discovers and/or experiences.

4. Set-Up Fee

In consideration of the rights granted to Client in these API Terms and Conditions, Client shall pay GotPrint a one-time set-up fee equal to $1,000.00 (the "Set-Up Fee"). Client's account shall not be given access to the GotPrint API Service unless and until such Set-Up Fee has been paid. Client acknowledges that the Set-Up Fee is non-refundable.

5. Modifications

GotPrint reserves the right at any time to update and/or release subsequent versions of the GotPrint API Service and to require Client to obtain and use the most recent version thereof. Client is solely responsible for any updates to Client's systems that are necessary or desirable for integration with any such updates and/or versions.

6. Disclaimers

Without limiting any of the disclaimers or limitations of liability set forth in the Terms of Use (which disclaimers and limitations of liability Client acknowledges are incorporated into and made a part of these API Terms and Conditions), Client expressly acknowledges that Client's use of the GotPrint API Service and GotPrint Data is at Client's sole risk, and that the GotPrint API Service and GotPrint Data are provided on an "as is" and "as available" basis, and that GotPrint expressly disclaims any and all representations and warranties of any kind (whether express or implied) with respect thereto.

7. Support

GotPrint may elect to provide Client with support or modifications for the GotPrint API Service, in its sole discretion, and may terminate such support at any time and without notice.

8. Termination

1. Client may stop accessing the GotPrint API Service at any time.
2. GotPrint reserves the right to change, suspend, or discontinue all or any aspects of the GotPrint API Service, including their availability at any time and without notice or liability.
3. GotPrint may terminate Client’s access to the GotPrint API Service at any time and without notice or liability, for any reason, or for no reason, including, without limitation, immediately if Client is in breach of any material obligation under these API Terms and Conditions.
4. Upon termination, Client must delete any GotPrint Data in its possession and cease utilizing the GotPrint API Service for any purpose. For the avoidance of doubt, Client acknowledges that there will be no refund of the Set-Up Fee upon any termination.

9. Terms of Sale

For the avoidance of doubt, all of your orders with GotPrint shall be governed by the Terms of Sale.

10. Privacy Policy and Terms of Use

For the avoidance of doubt, our Privacy Policy and Terms of Use (including, without limitation, its indemnification, dispute resolution and miscellaneous provisions) will apply to your use of the GotPrint API Service.
